If you do not agree to these Terms, you must not access or use the Website. You must be at least eighteen (18) years of age to use the Website. By using the Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are accessing or using the Website on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both you as an individual and the entity you represent. Central Lense Inc. reserves the right to modify, update, or revise these Terms at any time at our sole discretion. Your continued use of the Website following any changes constitutes your acceptance of the revised Terms.

  • Cybersecurity Solutions: Security assessments, threat monitoring, incident response, and compliance advisory services.
  • Technology Optimization: Infrastructure modernization, cloud migration, and IT strategy consulting.
  • Microsoft 365 License Marketplace: An online marketplace powered by Shopify through which you may browse and purchase Microsoft 365 licenses. Central Lense is an authorized Microsoft Cloud Solution Provider (CSP) partner.
Important Distinction: These Terms govern your use of the Website only. The actual delivery of managed IT services, cybersecurity solutions, and other professional services is governed by separate, individually negotiated service contracts, statements of work ("SOWs"), and master service agreements entered into between you (or your organization) and Central Lense Inc. In the event of any conflict between these Terms and a signed service agreement, the terms of the signed service agreement shall prevail with respect to the services covered by that agreement. The information provided on the Website, including descriptions of our services, capabilities, and industry expertise, is for general informational purposes only and does not constitute a binding offer or guarantee of service availability.

Use Restrictions

You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree that you will not use the Website to:
  1. Violate any applicable federal, state, local, or international law or regulation, including without limitation any laws regarding the export of data or software, intellectual property laws, or privacy regulations.
  2. Gain or attempt to gain unauthorized access to the Website, other user accounts, computer systems, or networks connected to the Website through hacking, password mining, or any other means, or interfere with or disrupt the Website or servers or networks connected to the Website.
  3. Reverse engineer, decompile, disassemble, scrape, or data mine any portion of the Website, or use any automated system, including but not limited to robots, spiders, or scrapers, to extract, collect, or harvest data from the Website without our prior written consent.
  4. Transmit or upload any malware, viruses, worms, Trojan horses, or other malicious or destructive code, files, scripts, agents, or programs that may damage, detrimentally interfere with, or intercept any system, data, or personal information.
  5. Impersonate or attempt to impersonate Central Lense Inc., a Central Lense employee, another user, or any other person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
  6. Use the Website for the purpose of sending spam, unsolicited commercial communications, chain letters, bulk emails, or any form of unsolicited advertising or promotional material to any person or entity.
  7. Infringe upon the intellectual property rights of Central Lense Inc. or any third party, including copyrights, trademarks, trade secrets, patents, or other proprietary rights.
  8. Circumvent, disable, or otherwise interfere with any security-related features of the Website, including features that prevent or restrict use or copying of any content, or that enforce limitations on the use of the Website or the content therein.
  9. Use any automated tools, bots, or software to access, interact with, or monitor the Website without our prior written permission, except for standard search engine indexing.
  10. Interfere with or disrupt the proper operation of the Website, including overloading, flooding, or engaging in denial-of-service attacks, or take any action that imposes an unreasonably large load on our infrastructure.

Microsoft 365 License Marketplace: Our online marketplace for Microsoft 365 licenses is powered by Shopify. When you browse products, add items to your cart, or proceed to checkout, you may interact with Shopify's platform and infrastructure. The checkout and payment processing for marketplace purchases are handled by Shopify and are subject to Shopify's Terms of Service and Shopify's Privacy Policy. We strongly encourage you to review the terms and conditions and privacy policies of any third-party websites you visit. Central Lense Inc. shall not be liable for any loss or damage caused by your reliance on the content, goods, or services available on or through any third-party website.

AGGREGATE LIABILITY CAP: In no event shall the total aggregate liability of Central Lense Inc. and its officers, directors, employees, agents, and affiliates for all claims arising out of or relating to these Terms or your use of the Website exceed the greater of (a) one hundred U.S. dollars ($100.00 USD) or (b) the total amount you have paid to Central Lense Inc. in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Central Lense Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  3. Your violation of any rights of any third party, including without limitation any intellectual property rights, privacy rights, or proprietary rights

Central Lense Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Central Lense Inc. in asserting any available defenses. You agree not to settle any claim subject to this indemnification provision without the prior written consent of Central Lense Inc.

Dispute Resolution and Governing Law

Governing Law: These Terms and any disputes arising out of or relating to these Terms, your use of the Website, or the relationship between you and Central Lense Inc. shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Exclusive Jurisdiction: Any legal action, suit, or proceeding arising out of or relating to these Terms or the Website shall be instituted exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware. You irrevocably consent to the personal jurisdiction of and venue in such courts and hereby waive any objection to such jurisdiction or venue, including on the grounds of inconvenient forum. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. Waiver: No waiver by Central Lense Inc. of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Central Lense Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Termination

Central Lense Inc. may, in its sole discretion, suspend or terminate your access to the Website at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms.

Upon termination, your right to access and use the Website shall cease immediately. You may also discontinue your use of the Website at any time.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: Intellectual Property Rights, User Content and Submissions, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Governing Law, and any other provisions that are intended to survive termination.

Termination of your access to the Website shall not affect any rights or obligations that accrued prior to such termination.

DMCA Copyright Notice

Central Lense Inc. respects the intellectual property rights of others and expects users of the Website to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond to notices of alleged copyright infringement that comply with the DMCA and applicable law.   2. Identification of the material that you claim is infringing and that you request be removed or access to which be disabled, along with information reasonably sufficient to permit us to locate the material (such as the URL where the material appears)
  3. Your contact information, including your name, mailing address, telephone number, and email address
  4. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
  5. A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner
  6. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
Upon receipt of a valid DMCA notice, we will investigate the claim and take appropriate action, which may include removing or disabling access to the allegedly infringing material. Counter-Notification: If you believe that material you posted on the Website was removed or access to it was disabled by mistake or misidentification, you may file a counter-notification with us. Severability and Entire Agreement

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision to the greatest extent possible. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Central Lense Inc. regarding your use of the Website. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. No Waiver: The failure of Central Lense Inc. to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Central Lense Inc.
